Gabiley MunicipalityOFFICIAL SERVICE AGREEMENT
1) Parties / Dhinacyada
This Agreement is entered into between Gabiley Municipality, represented by ____________________________, ____________________________, and Cloud Shield Solutions LLC, represented by ____________________________ (____________________________). Each is a “Party” and together the “Parties.”

Definitions / Erayo Muhiim ah
- Go-Live: The date the production system is officially made available for operational municipal use.
- Handover: Formal transfer of configured system access, documentation, and operational control to the Municipality.
- Support Period: The 3-month technical support window beginning from the full handover date.
- Retainer: Optional post-support monthly service arrangement (M1, M2, or M3) for continued technical services.
- Option B: Managed infrastructure billing arrangement where Cloud Shield pays eligible infrastructure costs first and invoices Municipality for exact pass-through reimbursement under active M2/M3 retainer terms.
- Infrastructure/Consumption Costs: Ongoing third-party platform and usage charges, including hosting, storage, bandwidth, gateways, and related operational subscriptions.
2) Scope / Baaxadda Shaqada
Cloud Shield shall design, deploy, configure, and hand over the approved municipal digital government system in accordance with the approved proposal and written implementation confirmations issued by the Municipality.

3) Payment Milestones / Jadwalka Lacag-bixinta
Total Contract Value: USD 45,000 (as per approved proposal). All payments shall be made according to the milestone schedule below unless otherwise agreed in a written amendment signed by both Parties.

4) Infrastructure & Consumption Costs
All infrastructure and consumption costs shall be borne by Gabiley Municipality and are not included in Cloud Shield service fees, as stated in the approved proposal.
- Cloud hosting/server usage
- Database/storage usage
- Bandwidth/network usage
- SMS/Email/OTP and third-party API fees
- Domain/SSL/subscription operational costs
This Option B is only valid while the Municipality retains Cloud Shield under an active monthly service retainer (M2 or M3). If the retainer is not active or is terminated, infrastructure billing responsibility reverts directly to Gabiley Municipality.
Cloud Shield shall provide monthly supporting invoices/receipts for audit and reconciliation.
5) Support & Retainer
Cloud Shield shall provide 3 months technical support after full handover.
After that period, continued support shall be optional under a separate retainer. Retainer scope and pricing shall depend on actual deployment usage (including active users, adoption level, and support demand).

6) Fine Print / Shuruudaha Dheeraadka ah
- Confidentiality: Each Party shall protect non-public technical, financial, and administrative information received under this Agreement and shall not disclose such information except as required for contract performance or by law.
- Change Control: Any scope expansion beyond the approved proposal must be approved in writing by both Parties and may require timeline and/or cost adjustment.
- Client Dependencies: Delivery dates shall depend on timely approvals, data submissions, and access provision by the Municipality.
- Infrastructure Billing: Hosting and consumption charges shall be billed separately and are excluded from service fees, except where Option B is active under this Agreement.
- Ownership: Municipal data shall remain the property of Gabiley Municipality. Source-code and handover rights shall transfer according to approved proposal terms and payment completion conditions.
- Liability Limitation: Service Provider liability under this Agreement shall be limited to amounts paid for services under this Agreement, excluding third-party service outages and force majeure events.
- Dispute Resolution: The Parties shall first seek resolution through formal good-faith consultation. Unresolved matters shall proceed under applicable Somaliland legal and administrative procedures.
7) Signatures & electronic completion / Saxeex iyo dhammaystirka elektaroonigga ah
